Terms of Service

Agreement to Terms

By accessing or using Orbweva's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Orbweva provides Chief Agent Officer engagements: a two-week CORE Assessment, then AI agent systems built and run in production for your business under one of the shapes on the pricing page. Orbweva Academy provides training and mentorship on a monthly membership; see Orbweva Academy Membership below. Specific scope, deliverables and pricing are set out in each service agreement.

Service Agreements

Each engagement is governed by a separate service agreement that outlines:

  • Scope of services and deliverables
  • Pricing and payment terms
  • Timeline and milestones
  • Cancellation, minimum term and refund conditions

Where your signed service agreement and these terms differ, the service agreement prevails for that engagement, except that nothing in a service agreement reduces your rights under the Australian Consumer Law section or your right under Changes to These Terms to stop using our services before a change takes effect.

Payment Terms

  • The CORE Assessment fee is due before the assessment begins
  • Monthly shapes are billed in advance
  • All prices are in USD. Orbweva is not registered for GST, so no GST is charged
  • If a payment is overdue, we will tell you in writing and give you a reasonable time to pay before suspending services

Guarantees and Refunds

We do not sell outcome guarantees. What is written down is what you can hold us to:

  • The CORE Assessment is fixed price, and the Calibration Report is yours whether or not you continue
  • Refund conditions for a specific engagement are set out in its service agreement

Refund requests must be submitted in writing to hello@orbweva.com. Nothing in these terms limits any right you have under the Australian Consumer Law.

Cancellation

  • Monthly shapes run month to month after the CORE Assessment
  • Cancel with 30 days' written notice
  • Embedded for a season has a three-month minimum; after that, 30 days' notice applies
  • No refunds for partial months, except where these terms say otherwise
  • Once paid for, everything built for you is yours

Orbweva Academy Membership

Orbweva Academy is a monthly membership. These terms apply to it in addition to the sections above; where they differ, this section prevails for the membership.

  • The fee is USD $100 a month, billed in advance through Stripe on the same day each month, starting on the day your billing is set up. The shown price is the total; Orbweva is not registered for GST, so no GST is charged.
  • Your membership renews automatically each month until you cancel.
  • Cancel at any time by email to hello@orbweva.com or through the Stripe billing link in your receipt. Cancellation takes effect at the end of the month you have already paid for; you are not charged again, and you keep access until that date.
  • We do not refund the current month once it has begun. If we cancel your membership for a reason other than your breach of these terms, we refund the unused part of that month.
  • Each month includes five 15-minute one-to-one standups with Ryan Ahamer, booked by you. Standups not used in a month do not carry over. If Ryan cannot hold a booked standup, it is rescheduled within the same month or the following one.
  • Membership needs your own Claude account and a plan that includes Claude Code. Anthropic's fees are yours and are not included in the membership fee.
  • We may change the membership fee with at least 30 days' written notice. A change applies from your next renewal after the notice period, and you can cancel before then at no cost.
  • We may end your membership with 30 days' written notice, or immediately if you breach the Acceptable Use section. Membership places are limited; when the programme is full, the sign-up form takes waitlist entries and no fee is charged until a place is offered and you accept it.
  • Everything you build during the membership is yours. The public skill repos on GitHub carry the CC BY-NC-SA 4.0 licence shown in each repo; your membership adds permission to use them commercially in your own business while you are a member. Anything written for you in your workspace stays ours and is for your own use.
  • Nothing in this section limits your rights under the Australian Consumer Law section.

Intellectual Property

Your Content

You retain ownership of all content, data, and materials you provide to us. You grant us a license to use this content solely for providing our services.

Deliverables

Upon full payment, you own all deliverables we create for you, including the agents, the ARC knowledge base, the Grow dashboard and the connectors built for your business.

Our Property

Orbweva retains ownership of our proprietary systems, processes, and general methodologies.

Confidentiality

We treat all client information as confidential. We will not share your business information, strategies, or data with third parties except as necessary to provide our services or as required by law.

Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded. If you acquire our services as a consumer within the meaning of that law, they come with guarantees that cannot be excluded, including that they will be provided with due care and skill, be fit for any purpose you told us about, and be supplied within a reasonable time. Where the law lets us limit our liability for breach of a non-major consumer guarantee, we limit it to supplying the services again or paying the cost of having them supplied again.

Liability

We are liable to you for loss or damage we cause through our negligence or our breach of these terms, up to the cap below and subject to the exclusions from that cap. Our liability for breach of a consumer guarantee is governed by the Australian Consumer Law section and is not subject to that cap.

Subject to the Australian Consumer Law section, we are not liable for:

  • Indirect, consequential or special loss, such as lost profits, lost business opportunities or loss of goodwill
  • Loss of data caused by your own actions
  • Loss caused by your breach of these terms
  • Loss caused by events outside our reasonable control, including internet outages and third-party provider failures
  • Loss from relying on general information on this site without obtaining professional advice

Our total liability to you for all claims connected with these terms is limited to the fees you paid us for the specific service giving rise to the claim.

That cap does not apply to:

  • Liability under the Australian Consumer Law consumer guarantees
  • Gross negligence or wilful misconduct
  • Breach of confidentiality
  • Any liability that cannot be limited under Australian law

Acceptable Use

You agree not to use our services to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Distribute spam or malicious content
  • Engage in fraudulent or deceptive practices
  • Harm minors or vulnerable individuals

Third-Party Services

Our services may integrate with third-party platforms and tools. Your use of these services is subject to their respective terms and conditions.

Changes to These Terms

We may update these terms from time to time. If a change materially affects your rights or obligations:

  • We will give at least 30 days' written notice, by email if you have a service agreement with us, or by a prominent notice on this website
  • The change applies from the effective date stated in the notice
  • If you do not accept the change, you can stop using our services before that date
  • Continued use after the effective date means you accept the updated terms

We do not apply material changes retroactively, and we do not use this section to change the price, scope or term of an engagement. Those are governed by your service agreement.

Governing Law and Disputes

These terms are governed by the laws of South Australia, Australia.

  • You and we submit to the non-exclusive jurisdiction of the courts of South Australia. We chose non-exclusive so that, if you are a consumer or a small business, you remain free to bring a claim in the courts or tribunal of your own state if that is more convenient
  • Before going to court, both parties agree to try to resolve the dispute by direct discussion within 30 days of a written notice of dispute
  • If discussion does not resolve it within 30 days, either party can require mediation before a mediator accredited under the Australian Mediator and Dispute Resolver Accreditation Standards (AMDRAS) and agreed by both parties. If no mediator is agreed within 14 days, either party can ask the Resolution Institute to nominate one through its nomination service. Mediation costs are shared equally unless the mediator decides otherwise
  • Nothing in this section prevents you from bringing a small claim or consumer complaint to a court or tribunal in your own state that has jurisdiction to hear it
